Please read these “Terms and Conditions” carefully before accessing or browsing our site in any way. When we say “Services” we mean our website, application, mobile app, tools and/or other service (collectively "Services") contained within or comprising www.unikart.com.bd. When we say “Content” we mean all information including user interfaces, visual interfaces, source code, meta-tags, software, technology, text, graphics, images, artwork, photographs, links, posts, comments, emails, private messages, trademarks, logos, or other material (collectively "Contents") posted on and in our sites under our control. By accessing or otherwise using the site in any manner, including, but not limited to, visiting or browsing the site, you agree to comply with all these “Terms and Conditions”. If you do not agree to be bound by this agreement (any terms, conditions, rules, policies, guidelines, or practices in operating the site) or you are dissatisfied with our site, or with our services and contents, your sole and exclusive remedy is to discontinue any use of the site immediately.

3. YOUR ACCOUNT
A) Registration Obligations
You may be required to register with us in order to access certain services or areas of the site. With respect to any such registration, you may have to provide personal information to complete the creation of an account. Your mobile phone number and/or e-mail address is treated as your primary identifier on the platform. You are obligated to update your mobile phone number and your email address in real time by accessing your account online. In some instances, we may also collect your ID, such as ‘NID’ or ‘Driving License’. For Suppliers/Vendors, we may collect other business-related information (e.g. Business name, Address, Business registration number, business license, tax information, shareholder and director information, etc.). No person or business entity shall register as a member of the site more than once under the same information as mentioned.
B) Age Limit & Membership Eligibility
As a member you agree, represent, warrant, covenant and guarantee that you are 18 years of age or older. The platform is not intended for users under the age of 18 and such users are expressly prohibited from purchasing products or registering for an account. If you are not yet 18 years of age, we strongly recommend you to ask permission from your parent or legal guardian before sending any information about yourself to anyone over the internet. We hereby encourage parents to teach their children about safe internet use practices.
C) User name and password
Your log in id/user name and password are for your personal use only and you will not share your user name or password with anyone especially anyone claiming to work with us or third party. If you have any reason to believe that your password is not anymore secret, we advise you to change your password immediately. You shall be responsible for maintaining the confidentiality of your account details and related private information. All activities that occur from your account shall be deemed to be either performed by you or authorized by you as the case may be.
D) Termination
All the “Terms and Conditions” are valid unless and until terminated by either you or us. You may terminate these “Terms and Conditions” at any time either by notifying us your lack of interest for our services or just discontinuing from our site. On the other hand, if we believe that you are abusing unikart and/or our services in any way, we may, in our sole discretion reserve the right to limit, suspend or terminate your account without prior notice to you. Your right to use the site might be immediately ceased in whole or in part. We may also ban you permanently from accessing our website and annul any or all of your rights granted under these “Terms and Conditions” for
i) your failure to comply with any of the provisions set forth in this agreement;
ii) any of your information that is untrue, inaccurate, not current or incomplete;
iii) any unconfirmed accounts or accounts that have been inactive for a substantial period of time;
iv) any other legal or justifiable remedies,
v) any other reason or;
vi) no reason;
Upon any such termination, may result in the forfeiture and destruction of all information associated with you (including password, account identification information and any or all of your user generated contents). You furthermore agree that we shall not be liable or responsible to you or to any other person for any losses suffered by, caused by, arising out of such termination and you will still be bound by the respective rights and obligations (including without limitation, payment obligations or the warranties made by you) of the parties arising before the date of termination. Otherwise we may bring court proceedings against you due to breach of contract.

5. PLATFORM FOR COMMUNICATION AND TRANSACTION
A. Conditions of Sale (Between Sellers and Customers)
This online platform can be utilized by users to reach a larger base to buy and sell products or services from a listed price at any time and from any location using a payment method of your choice. The actual contract for sale of any of the products or services is strictly between the seller and the buyer. Unikart is not a party to the transaction, and it is not a seller or a traditional auctioneer. We do not transfer legal ownership of items from the seller to you. We are only providing a platform for communication and we are not responsible for any non-performance or breach of any contract entered into between buyers and sellers. We accept no liability for any errors or omissions, inaccuracy, incompleteness of any information or specifications of products whether on behalf of itself or third parties. We will not be a party to mediate or resolve any dispute or disagreement or in any way be responsible for monitoring any transaction between you and the sellers. We recommend you to use your best and prudent judgment for any transactions entered into through the site or services. These Terms govern your purchase of products via the platform and by purchasing products from the platform; you shall agree to comply with our conditions relating to the buying of products or services on the site.
B. Selling
From time to time, a seller shall agree to comply with our conditions relating to the sale of products or services on the site. A registered seller is allowed to list items for sale and shall agree to comply with our Seller Policy
C. Buying
Please read these terms carefully before committing to buy or placing an order for any product or service via the platform. A registered buyer is allowed to purchase from listed items and shall agree to comply with following buying practices
i. The display of products or services on our website constitutes an invitation to treat and by completing our on-line order (including your payment details), you are making a legal offer to seller to purchase the relevant goods or services at the prices stated at the time of ordering;
ii. All discounts, offers (including exchange offers) are made by the Seller. Your participation in all such events on or through the platform is solely between you and with seller;
iii. Unikart’s acknowledgement of an order means that your order request has been received. But this shall not constitute the seller’s acceptance of your order. Upon receipt of your order details we will make sure the price and availability of the item. We shall collect the product from seller and perform QC (Quality control) in our end. The order is confirmed when the goods are ready for shipping.
iv. Our acceptance of your order brings into existence a legally binding contract between us. If your order has not been accepted, you will receive an email from us to notify you the rejection cause. You can track your order from order id;
v. The confirmation email shall include details of ordered products, payment method and cost. You must ensure that your email address is up to date in database. Please contact us as soon as possible if any details are incorrect. We will deliver the goods to the address that you have provided on the checkout page;
vi. We will indicate an approximate timeline once you place an order and the delivery will be made as soon as possible. However we cannot guarantee that this timeline will always meet the indicated date. We are dependent on third party service providers to be firmed on this commitment. We are also not responsible for delays by an event outside our control or due to force majeure event. However we will take all possible steps to minimize the effect of the delay. If there is a risk of substantial delay you may contact us to end the contract and receive a refund for any products you have paid for but not received;
vii. You will become the legal owner of the goods you have ordered when payment for the goods has been done and when they have been delivered to you. You can choose your payment method available on our site. Cash on Delivery is also available. The goods will be held at your own risk from delivery. We will not be liable for their loss, damage or destruction after they have been delivered to you;
viii. If no one is available at your address to take delivery and the products cannot be posted through your letterbox, we or our delivery provider will call you. We may rearrange the delivery or you may have to collect the products from a local depot. We may charge you for storage costs and any further delivery costs. If, despite our reasonable efforts, we are unable to contact you or re-arrange delivery or collection we may end the contract. An email and sms will be sent to both seller and customer.
ix. In the event that your shipping address cannot be found or invalid, undelivered orders will be chargeable. Users are prohibited from making false orders through our website. The use of cookies are used to monitor I.P. addresses as stated in our privacy policy in order to blacklist any computers which Unikart suspects of being used to commit false delivery requests. Unikart reserves the right to seek compensation through legal action for any losses incurred as the result of hoax delivery requests and will prosecute to the full extent of the law.
x. If what you have bought is damaged, faulty, incorrectly shipped or received in error, you may have a legal right to end the contract (or to get the product repaired or replaced or to get some or all of your money back);
xi. The images of the products on our platform are for illustrative purposes only. It may vary slightly from their pictures. Though we have made every effort to display the colors and images accurately, we cannot guarantee that a device's display of the colors accurately reflects the color of the products. There may be perceived color variations between items shown on the website and those supplied;
xii. The packaging of the product may vary from that shown in images on our Platform. But we ensure that all products are packed extremely carefully and securely for shipping. If your order is dispatched in more than one package, you may receive separate dispatch confirmations;
xiii. The delivery costs will be displayed to you on our Platform. Free shipping promotion also may be available from products to products;
D. Canceling Order
An order can’t be processed
i. if we fail to verify your identity
When placing an order, you warrant that all details you provide to us for the purpose of ordering are true, accurate, current and complete in all respects; you warrant that the credit or debit card you are using is your own and there are sufficient funds in your account to cover payment of the product(s) ordered other than cash in delivery. We also reserve the right to validate your identity and payment details in order to prevent credit/debit cards fraud. The absence of an answer for relevant inquiry may automatically cause the cancellation of the order within a reasonable timeline.
ii. if we suspect a risk of fraudulent
We also proceed to direct cancellation of an order for which we suspect a risk of fraudulent use of banking instruments or other reasons without prior notice.
iii. if the product is mispriced, defective, malfunctioned or expired
Product pricing are subject to change at any time without notice. Despite our conscientious efforts, a small number of items on the site may be mispriced or described inaccurately. We reserve the right to withdraw malfunctioned or expired products and give you the option of reconfirming your order or cancelling. Besides that, this price may also vary when you place an item in your cart before or after any promotion. But items in your shopping cart will always reflect the most recent price.
iv. if the product is unavailable
All orders are also subjected to availability. You can only place items in your basket that are currently in stock. However, on rare occasions, stock levels may be incorrect. Dispatch estimates of online store are just that. Products may turn out to be unavailable and cannot be predetermined by the website. The unexpected limits on our resources may happen due to unavoidable inventory management issues, website management issues, vendor stock update issues or any other unpredictable reason which we could not reasonably plan for. If this is the case we will contact you immediately. An item can also be unavailable while that is in your cart but an order has been placed meanwhile. Please note that items in your shopping basket and on your wishlist are not reserved and may be purchased by other customers.
v. if the product is for commercial re-sale
We may consider a company or an individual as resellers who purchases goods with the intention of selling them rather than using them. You must confirm that any product or service you ordered is for your personal consumption only and not for commercial resale. If we believe that you are purchasing a number of products within a single order or placing of several orders for the same product for further distribution purposes, you are violating our policies. A typical end consumption quantity limit for per person, per household or per order shall be considered on various factors and may vary from case to case. We reserve the right to cancel such orders in our sole judgment. You may also be subject to a range of actions, including limits on your buying and selling privileges and suspension of your account.
Unikart reserves the right to change or update information and to correct typographical errors, inaccuracies or omissions related to product descriptions, pricing, promotions, offers, shipping charges, transit time and stock availability at any time without prior knowledge. Sellers may refuse or cancel any such order at their own discretion prior to dispatch and apologize for any inconvenience. You may also cancel your order at no cost any time before the item is dispatched to you. Once your order has been accepted you are not able to amend the order without our written consent.
E. Returns &Refund Policy
We will work to ensure your satisfaction with your purchase of any item from Unikart platform and proudly offer a risk-free money back guarantee. We quality check each item individually before they are dispatched to our customers. However we understand that sometimes an item may not be what you expected it to be. In that unlikely event, you are welcome to return it for a refund or exchange within 3 days of receipt, subject to our Return & Refund policy
6. LICENSE TO ACCESS THE SITE
As long as you comply with these Terms and Conditions described herein, we grant you a personal, non-exclusive, non-transferable, limited privilege to enter and use the site within the parameters outlined and defined by unikart.com.bd. You hereby acknowledge that the content available on the site is only for personal and non-commercial use. The user may not sell, rent or sub-license any material from our website and cannot exploit or show them in public. Unikart reserves the right to bar any such activity.
The site is listed with common and unique brand products of daily need and categorized by Makeup, Cosmetics, Hair, Personal and skin care, Fashion & Accessories, Fragrances, Lingerie, Home Appliance and so on.
A. Your Conduct to Use the Platform
Your use of our platform or any systems/networks connected to our platform shall be strictly governed by the following binding principles:
You shall not
i. pretend someone else or impersonate another individual or entity;
ii. indicate falsely that you are an employee or a representative or a business partners of Unikart;
iii. do anything that harm Unikart, its representatives, stakeholders or any other party directly or indirectly associated with the platform;
iv. do anything which is fraudulent, harassing, menacing or grossly harmful to the online community or in connection with any of those purpose or effect;
v. create liability for us or cause us to lose (in whole or in part) the services of our internet service provider (ISPs) or other suppliers;
vi. interrupt, destroy or limit the operation of the site or its functionality, availability and accessibility;
vii. test, probe or scan the vulnerability of the site by imposing an unreasonable or disproportionately large load;
viii. interfere or attempt to interfere with the enjoyment of any other person’s use of the site;
ix. collect personal information either by conducting any systematic or automated data collection activities for commercial or unlawful purposes from anyone without their consent;
x. damage any property including damage to user’s computer or computer system, software, hardware or mobile device by distributing or uploading computer viruses or any other harmful components or similar computer code such as spyware, adware, trojan horse, worm, keystroke logger, rootkit etc;
xi. try to breach any security to gain unauthorized access by hacking, password "mining" or any other illegitimate means;
xii. interfere or attempt to interfere any transaction being conducted on the site;
xiii. transmit junk mail, chain letters, pyramid schemes, unsolicited mass mailing or spamming;
xiv. post, upload or link to anything that advertises any commercial endeavor or otherwise engage in any commercial activity or solicit funds, advertisers, and/or sponsors for any purpose;
xv. promote any form of illegal activity (such as money laundering, gambling, violence etc.);
xvi. use this platform in any way that breaches any applicable local, national or international law or regulation;
Using the site for unlawful purposes other than in conformance with the above principles will result in an immediate cancellation of your account, services, reviews, orders or any existing incomplete transaction with us. We reserve the right to investigate suspected violations of these terms of use and in severe cases may also result in legal action.
B) User Generated Content (UGC) and Submission
UGC means any material including images, text, comment, questions, suggestions, reviews, ratings, poll response, private messages or other information that you or other users use, reuse, post, modify, update, display, send, submit, publish, transmit, share or make available through/via our web site. You understand that your communications on the site are not private or confidential and may be viewed by others accessing the services. Please carefully select the type of information that you publicly disclose or share with others on the Platform. Unikart assumes no liability for any personal information that you voluntarily disclose. You are solely responsible for the content of your submissions and may be held liable for that. We welcome UGC but do not endorse, support, encourage, or agree with them. Please be advised that such contents posted do not necessarily reflect Unikart views. In this regard, you agree that you will comply with the following Acceptable Content Policy (ACP) and shall not submit any UGC that:
i. is inappropriate, discourteous, improper, distasteful and does not accord with generally accepted standards of etiquette and behavior on any internet platform;
ii. is deliberately false, inaccurate, libellous , defamatory, blasphemous, deceptive, hateful, abusive, misleading or otherwise cause annoyance, inconvenience or needless anxiety to any person;
iii. features other individuals and their photographs, images or video without their permission;
iv. includes any proprietary material of any third party protected by intellectual property laws (or by rights of privacy or publicity);
v. constitutes or contain any negligent information, statement or advice that may be acted upon and could, if acted upon, cause illness, injury or death, or any other loss or damage;
vi. promote any political campaigning;
vii. solicits funds, advertisers or sponsors for any other purpose;
viii. contains pornographic or sexually explicit content to represent women or children indecently and promotes obscenity, vulgarity, paedophilia;
ix. advocates either directly or indirectly racial or religious hatred or constitutes an incitement to commit a crime or physical harm of any kind against any group or individual;
x. threatens the unity, integrity, security or sovereignty of The People's Republic of Bangladesh or friendly relations with foreign States in any way;
When you submit UGC, you grant us a non-exclusive, royalty free, perpetual, worldwide, irrevocable, non-exclusive, transferable right and license to use all without notice and without compensation to you. Such Content will become our property and may be used for marketing, advertising and any other purposes we consider appropriate on our platform or in any media. For this reason, we recommend you not to assert any user content that you do not wish to license to us.
7. INTELLECTUAL PROPERTY RIGHT
Unikart and licensors/merchants own and are in control of all intellectual property and material whether registered or unregistered displayed on our site including, but not limited to website design, content, features, functionality, images, audio, videos, text, graphics, logo, software compilations and source code. We don’t allow any illegal infringe by performing, displaying, distributing, republishing, reproducing, copying, reverse engineering, decompiling, disassembling, or preparing derivative works from content that belongs to us or someone else. Any unauthorized use of the materials appearing on the site without prior written permission from us may violate trade dress, patent and trademark laws, unfair competition laws and related proprietary rights. These could also result in criminal or civil penalties.
8. GOVERNING LAW, JURISDICTIONAL ISSUE & COMPLAINTS
The site is controlled and operated by Unikart. You are responsible for complying with e-commerce rules and all local laws of Bangladesh. If a complaint arises between you and us, we strive to resolve the dispute fairly, quickly, and efficiently. A) Defamation & Objectionable Content
If any user has defamed you on the site through their UGC or if you find any content on the site that violates the letter or spirit of ACP, please notify us. We will make all practical proceedings to review, investigate, and remove valid objectionable content within a reasonable time frame.
B) Infringing Content
We respect the intellectual property right and other rights of others and ask our users to do the same. We may terminate the access of users at our discretion in appropriate circumstance who infringe in any form or by any means. If you believe in good faith that materials hosted by us infringe your copyright, please write to us.
You must provide your (or a person authorized to act on your behalf) name, address, telephone number, contact information, signature ( physical or electronic signature) and relevant details of your complaint with proof including clear identification of that individual or party for our proper investigation. Please note that providing incomplete details will render your claim invalid and impracticable for legal purposes. Any false misrepresentations may be considered a legal offense and may expose you to liability for damages. You and Unikart also agree that in the event of any unresolved claim, dispute or controversy arising out of or relating to your access or use of our site or with our Terms & Conditions and any separate agreements whereby we provide, will be resolved in accordance with exclusive jurisdiction of the courts, tribunals and/or quasi-judicial bodies of The People’s Republic of Bangladesh.
9. DISCLAIMER
Unikart does not warrant that the site will operate error-free or uninterrupted, or that there will be no failures, omissions or loss of transmitted information. We do not make any representation that the site and/or its servers will be free of viruses and/or other harmful components and that emails sent from Unikart will be free of malware. Unikart cannot and does not guarantee that the site will be free from unauthorized access (including third-party hackers or denial of service attacks) or otherwise meet your requirements. We are not responsible for any failed internet connections or other technical defect. You expressly agree and undertake that use of our service is at your own risk and the service that we provide to you is "AS IS" and "AS AVAILABLE" basis without warranty of any kind. We shall not be responsible for non-performance or delayed performance of our service as a result of products which are out of stock, unavailable or back ordered. But we will do our utmost to ensure that our services are safe, secure, accurate and functioning properly. Unikart does not represent or warrant any product information such as quality, safety, suitability, reliability, merchantability, legality, fitness & condition, sourcing, listing or and any other details as expressed on our site is fully accurate or complete and hereby expressly disclaim any such warranties. Unikart does not endorse or guarantee any third party product or service purchased through the site. We recommend you to contact the seller directly for any specific query about any product. Any guidance we provide as part of our services is solely informational and you may decide to follow it or not. Unikart neither guarantee the ability of sellers to sell items nor the ability of buyers to pay for items. Breach of any “Terms and Conditions” associated with such business dealings of related products or services are solely between you and with seller.
11. INDEMNIFICATION & DEFENSE
You agree to indemnify, defend and hold unikart & our affiliates, agents, licensors, vendors, suppliers, content & service providers and their respective officer, members, employees or representatives (collectively, the “indemnified parties”) harmless from any or all claims or demands, damages, actions, liabilities, costs and legal expenses including reasonable attorneys’ fees and any amounts paid by us to a third party in settlement of a dispute due to or raised as a result of your breach of these Terms and Conditions.
12. LOSSES
The information and services on the website are provided free-of-charge. Under no circumstances we shall be liable to you for any loss or damage of any nature that is not reasonably foreseeable to both you and us when you commenced using the site. We only supply the products for domestic and private use. If you use the products for any commercial, business or re-sale purpose we will have no liability to you for any direct, indirect, special or consequential losses including without limitation, loss of business opportunity, goodwill or reputation, loss of income, revenue or profit, loss of contracts, loss of anticipated savings, loss of data, loss of production, or any other intangible losses you suffer in connection with the website or these terms of use.
We will also not be liable to you in respect of any loss that may incurred/raised as a result of

iii. your use of any procured product that caused any personal injury, death, property damage, or other physical damages unless such damages or injuries are the result of Unikart’s negligent, reckless acts or intentional misconduct;
iv. any damages caused by a force majeure event;
13. SEVERABILITY
All the terms & conditions shall be deemed severable. In the event if any provision of these terms of use is determined by any court or other competent authority to be illegal, unlawful and/or unenforceable, the rest will continue in full force and effect. You also acknowledge that if you breach any “Terms and Conditions” and we do not enforce a right does not result in waiver of such right. We can still enforce it later in any other situation where you breach these “Terms and Conditions”

You shall be responsible for payment of all fees/costs/charges associated with the purchase of products from the site and you agree to bear any and all applicable taxes as per prevailing law.

Unikart specifically disclaims any complaints, claims, concerns, or questions in connection with the acts of such third parties service providers. We may also block, cease or remove any link connected to the site which is not authorized by us or if it is construed as illegal, distasteful, offensive, controversial or otherwise detrimental to Unikart's reputation or commercial interests.

From time to time we along with seller may run competitions, flash sales, free prize draws and/or other promotions on our website. These may be subjected to separate terms and conditions and we might make it available to you as appropriate.
17. SOFTWARE
All our application, software and app (collectively, “Software”) that are connected with the site are our property and/or our affiliates or its software suppliers and protected by the laws of Bangladesh. In order to keep the Software up-to-date, we may offer automatic or manual updates. You may download and use them to enjoy our services and shall not attempt, assist or encourage others to:

We may terminate your right to use the Software at any time without any notice if you fail to comply with any of the principles listed here or across the site.

Translation features (in some cases) are made available on the platform in Bangla on a reasonable effort basis for convenience only, without any representation or warranties by Unikart. In case of conflict or inconsistency between the English language version and a translated version, the English language version shall prevail.

23. MISCELLANEOUS
Any ambiguities in the interpretation of these “Terms and Conditions” shall not be construed against the drafting party. We may transfer our rights and obligation under these Terms to another organization if we were to be sold. The personal data relating to that title (eg the subscriber list / newsletter list etc) would be transferred to the new business owner. You also understand and agree that if your use of the site and services violates any of the above codes of conduct, we may terminate your use of the site and services immediately without prior notice set-off, or hearing.
